The subscribers conditionally agreed to subscribe for a total of 9.1 billion subscription shares at a subscription price of HK$0.51 per share, while the company conditionally agreed to issue and allot the subscription shares. The subscription price represents a discount of approximately 17.74% from the closing market price of HK$0.62 per share on February 13, 2026 (the date of the subscription agreements). As of the date of this announcement, the company has 3.036 billion issued shares. Assuming there are no changes in the issued share capital from the date of this announcement to the completion date, the subscription shares would represent approximately 29.97% of the company's existing issued share capital as of the announcement date, and approximately 23.06% of the enlarged issued share capital (subject to completion of the subscription matters). The total proceeds from the subscription will be approximately HK$464 million. After deducting all related expenses, the net proceeds will be approximately HK$463 million. Approximately 40% of the net proceeds will be used for expected capital expenditure on the company's 20% equity interest in the Lhasa Mine for surveying and other exploration work. Another 40% of the net proceeds will be reserved for further financing for Tibet Lhasa (the project company of the Lhasa Mine) and approximately 20% of the net proceeds will be allocated for the general operating funds of the group.
