CMON (01792) announced that all conditions set out in the placement agreement have been met, and the placement was completed on February 12, 2026. A total of 10.32 million shares (representing approximately 16.67% of the enlarged issued share capital of the company after the placement) were successfully placed to no fewer than six placees at a placement price of HK$0.9500 per share in accordance with the terms of the placement agreement, supplementary letter and second supplementary agreement.
CMON (01792) announced that all the conditions set out in the subscription agreement have been met, and the subscription matters were completed on February 12, 2026. A total of 10.32 million shares of subscription shares (accounting for approximately 16.67% of the enlarged issued share capital of the Company after completion of the placing and issuance of subscription shares) have been successfully placed at a subscription price of HK$0.9500 per share to not less than six subscribers in accordance with the terms of the subscription agreement, supplemental letters and second supplemental agreement. The directors, after making all reasonable inquiries, are deeply aware, fully informed and convinced that the subscribers and their ultimate beneficial owners (if applicable) are independent third parties, and there is generally no subscriber becoming a major shareholder of the Company (as defined in the Listing Rules) as a result of the subscription matters. The total amount raised from the subscription matters is approximately HK$9.8 million. After deducting subscription commissions and other related expenses arising from the subscription matters, the net proceeds from the subscription matters are approximately HK$9.4 million, intended for general working capital, of which approximately (i) HK$2.35 million will be used for marketing and activities, including participation in trade exhibitions and promotional activities; (ii) HK$5.875 million will be used for game development, including prototype design, content development, and art creation; and (iii) HK$1.175 million will be used for the normal operation of board games, model wargames, and other leisure product sales business.
