China Minsheng Shares (300345.SZ) announced that the company plans to sign a "Debt Restructuring and Investment Agreement" with Hongxin New Energy and JA Solar (Wuxi) Photovoltaic Technology Co., Ltd. (referred to as "JA Solar Wuxi"). JA Solar Wuxi will increase its capital and expand its shares in Hongxin New Energy through debt-to-equity conversion.
Hunan Huamin Holdings (300345.SZ) announced that the company plans to sign a "Debt Restructuring and Investment Agreement" with Hongxin New Energy and JA Solar (Wuxi) Photovoltaic Technology Co., Ltd. (referred to as "JA Solar Wuxi"). JA Solar Wuxi will increase its capital by converting debt into equity to Hongxin New Energy. According to a pre-investment valuation of 1 billion yuan, JA Solar Wuxi will convert its 200 million yuan debt to equity in Hongxin New Energy, with 1.16 billion yuan being included in the registered capital and 84 million yuan being included in the capital surplus. The existing shareholders of Hongxin New Energy (the company and other shareholders) will all waive their preemptive rights for the aforementioned capital increase. After the capital increase, Hongxin New Energy's registered capital will increase to 707 million yuan, and the company's equity stake in Hongxin New Energy will change to 73.74%. Hongxin New Energy will remain a subsidiary within the company's consolidated financial statements. It is reported that JA Solar Wuxi is a wholly-owned subsidiary of the listed company JA Solar Technology. By introducing investors with strong comprehensive strength in the photovoltaic field this time, it will facilitate deep cooperation between Hongxin New Energy and JA Solar Technology in both business and capital, forming synergies in the industry chain.
