ORANGE TOUR (08627) announced that Mr. Ye Guancheng has resigned from his position as an independent non-executive director on December 31, 2025 due to other personal and business commitments. Following his resignation as an independent non-executive director, Mr. Ye Guancheng no longer serves as the chairman of the company's remuneration committee, a member of the company's nomination committee, or a member of the company's audit committee. After resigning, Mr. Ye Guancheng will no longer hold any position within the group. Mr. Fan Li has been appointed as an independent non-executive director, chairman of the remuneration committee, member of the nomination committee, and member of the audit committee, replacing Mr. Ye Guancheng effective December 31, 2025.
