XINYI ENERGY (03868) plans to acquire all the equity of Jinzhai Xinyi Wind Power for 62 million yuan.

XINYI GLASS (00868), XINYI ENERGY (03868), and XINYI SOLAR (00968) jointly announced that on December 23, 2025, XINYI GLASS's wholly-owned subsidiary XINYI GLASS (Wuhu) and Anhui Xinyi Power have entered into a stock transfer agreement. XINYI GLASS (Wuhu), a wholly-owned subsidiary of XY ELEC STORAGE (08328), intends to sell all the shares of Jinzhai Xinyi Wind Energy to XINYI ENERGY's wholly-owned subsidiary XINYI ENERGY (Fanchang) for a total consideration of RMB 62 million (adjustable). Jinzhai Xinyi Wind Energy is the owner and operator of a wind farm in Jinzhai, Anhui Province, with an approved generating capacity of 64 megawatts. The operation of the wind farm is subject to the Wind Farm Management Agreement. As of the date of this joint announcement, XINYI GLASS (Wuhu) and Anhui Xinyi Power hold 82.0% and 18.0% of the shares of Jinzhai Xinyi Wind Energy, respectively. As the main business of XINYI GLASS Group is the production and sale of glass products and the main business of XY ELEC STORAGE Group is the provision of automotive glass repair and replacement services in Hong Kong, production and sale of energy storage products and photovoltaic film products in China, and provision of engineering, procurement, and construction services for CECEP Solar Energy projects, it is proposed to reduce the costs and expenses of XINYI GLASS Group and XY ELEC STORAGE Group in managing the wind farm through the establishment of separate operating teams. This will effectively reduce the costs and expenses of XINYI GLASS Group and XY ELEC STORAGE Group in non-core businesses. On the other hand, as the main business of XINYI ENERGY Group is operating CECEP Solar Energy projects and XINYI ENERGY Group is also exploring projects in other renewable energy sectors, the acquisition of Jinzhai Xinyi Wind Energy will further enhance its renewable energy generation projects in China and expand its renewable energy business in the wind energy sector.
