APPOINTMENT OF WEI JIAMING AS EXECUTIVE DIRECTOR AND CHAIRMAN
AiDe New Energy (02623) announced that after sending out the comprehensive documents on December 18, 2025, the Board of Directors received a notice from the offeror. After discussing with Mr. Zhao Jujian, Mr. Zhao Jujian will be appointed as a non-executive director, while Ms. Wei Jiaming, Mr. Wu Haigan, Mr. Liao Daxue, and Mr. Chen Hongzheng have been appointed as executive directors; Mr. Zhao Jujian, Mr. Xia Chun, and Mr. Wang Dong have been appointed as non-executive directors; and Mr. Xie Jie and Mr. Wang Zhihua have been appointed as independent non-executive directors, with effect from December 18, 2025 after sending out the comprehensive documents.
ADD NEW ENERGY (02623) announced that after sending out the comprehensive documents on December 18, 2025, the board of directors received a notice from the offeror. After discussions with Mr. Zhao Ju, he will be appointed as a non-executive director. Ms. Wei Jiaming, Mr. Wu Haigan, Mr. Liao Daxue, and Mr. Chen Hongzheng have been appointed as executive directors; Mr. Zhao Ju, Mr. Xia Chun, and Mr. Wang Dong have been appointed as non-executive directors; and Mr. Xie Jie and Mr. Wang Zhihua have been appointed as independent non-executive directors, effective after the comprehensive documents are sent out on December 18, 2025.
In addition, Ms. Wei Jiaming has also been appointed as the chairman of the board of directors and the nomination committee. After Ms. Wei Jiaming is appointed as the chairman, Mr. Li Yunde will no longer serve as the chairman of the board of directors and the nomination committee, effective from the sending out of the comprehensive documents on December 18, 2025.
