The consideration will be paid through the issuance of approximately 199 million consideration shares, with each consideration share priced at HK$0.36.

As of the date of this announcement, Longling Capital is the controlling shareholder of the company, holding approximately 1.037 billion shares, representing approximately 52.38% of the total issued shares.
In addition, given the expiration of the stock option plan in 2015, the Board of Directors recommends adopting the 2025 Share Plan in accordance with Chapter 17 of the Listing Rules to provide incentives or rewards to eligible participants for their contributions to the company's growth and development.
Forestheaven is an investment holding company established in the British Virgin Islands in 2021. Its subsidiaries are mainly engaged in asset management, securities consultancy, securities trading services in Hong Kong, and issuing cryptocurrency exchange-traded products to investors primarily based in Asia from Switzerland. Pan Du Limited is the main subsidiary of Forestheaven, licensed to conduct regulated activities under the Securities and Futures Ordinance for Type 1 (securities trading), Type 4 (providing advice on securities), and Type 9 (asset management).
EXIO is a company established in the Cayman Islands in 2023, with its main place of business in Hong Kong. Its subsidiary, EXIO Limited, is a licensed virtual asset trading platform in Hong Kong. EXIO Limited is a licensed corporation authorized to conduct Type 1 (securities trading) and Type 7 (providing automated trading services) regulated activities under the Securities and Futures Ordinance, mainly operating in virtual asset exchanges and custody.
The directors believe that the proposed acquisition will provide the company with opportunities to invest in licensed wealth management companies and virtual asset business, aligning with the company's current focus on investing in mature innovative industries. The proposed acquisition will further enhance the company's investment portfolio and future returns.
