Shandong Dawn Polymer(002838.SZ) plans to acquire 80% of the equity of Ningbo Aisi Kai, a production factory of EPDM rubber.

Shandong Dawn Polymer (002838.SZ) announced that the board of directors has approved the proposal to acquire 80% equity of Ningbo Aisi Kai Synthetic Rubber Co., Ltd. The company will use its own funds of 516 million yuan to acquire 80% equity of Ningbo Aisi Kai Synthetic Rubber Co., Ltd. held by Aisi Kai Zhixin Investment Hong Kong Co., Ltd. (referred to as "SK Hong Kong"). After the acquisition is completed, Ningbo Aisi Kai will become a subsidiary of the company and be included in the company's consolidated financial statements. On the same day, the company signed the "Equity Transfer Agreement of Ningbo Aisi Kai Synthetic Rubber Co., Ltd. between Aisi Kai Zhixin Investment Hong Kong Co., Ltd. and Shandong Dawn Polymer Materials Co., Ltd." with SK Hong Kong. In order to ensure the stability and sustainability of the production and operation of Ningbo Aisi Kai after the delivery of the target equity, the counterparty SK Hong Kong's affiliated companies SK Geo Centric Co., Ltd. and/or SK Innovation Co., Ltd. intend to transfer the patents, proprietary technology and trademarks related to the target company's products to the company, before the date of change registration as stipulated in the "Equity Transfer Agreement", to be signed a separate agreement for the transfer of intellectual property. As of June 30, 2025, the assessed value of the aforementioned intellectual property is 64.7 million yuan, so the price for the transfer of intellectual property will not exceed 64.7 million yuan. The announcement shows that Ningbo Aisi Kai is a factory producing ethylene-propylene-diene rubber. Ethylene-propylene-diene rubber is a copolymer of ethylene, propylene, and a small amount of non-conjugated diene as the third monomer, represented by EPDM. After the completion of this transaction, Ningbo Aisi Kai will become a subsidiary of the company, which will help the company further improve its industrial layout and expand its application scenarios in the field of elastomers, which is of positive significance for the company's future development.
