NEW RAY MEDIC (06108) announced on December 5, 2025, that the company has entered into a placement agreement with placement agents. The company has conditionally agreed to place up to 33.32 million shares at a price of HK$0.225 per share to no fewer than six placees (being independent third parties). The maximum number of placement shares represents approximately 20.00% of the company's existing issued share capital as of the date of the announcement; and approximately 16.66% of the company's enlarged issued share capital after the placement. The placement price of HK$0.225 per share represents a discount of approximately 8.16% to the closing price of HK$0.245 per share on the last trading day on the Stock Exchange of Hong Kong (SEHK); and a discount of approximately 10.57% to the average closing price of approximately HK$0.2516 per share over the five consecutive trading days immediately preceding the last trading day on the SEHK. Assuming the maximum number of placement shares are successfully placed as per the placement agreement, the total gross proceeds and net proceeds from the placement are expected to be approximately HK$7.50 million and approximately HK$7.40 million (after deduction of placement fees and other expenses). It is anticipated that the net proceeds from the placement will be used for acquiring additional distribution rights in the company's core business.
