MODERN DENTAL(03600): Chen Guanfeng transfers 50 shares of Triera to CKF Family Limited.

MODERN DENTAL (03600) announced that the Company had received notification from its controlling shareholder, Triera Holdings Limited (Triera), that on December 5, 2025, Mr. Chan Kwun Fung had transferred 50 shares of Triera to CKF Family Limited, representing 50% of Triera's issued share capital, as an irrevocable gift (share transfer). CKF Family Limited is a limited company registered in the British Virgin Islands. All of the issued share capital of CKF Family Limited is held for the benefit of its family by TMF (Cayman) Ltd. (trustee, acting as the trustee of the CKF Trust, established by Mr. Chan Kwun Fung, the Company's controlling shareholder and non-executive director). The Company was informed that the share transfer was made to implement Mr. Chan Kwun Fung's family planning and inheritance arrangements. Triera holds 4.7 billion shares of the Company, representing approximately 50.33% of the Company's issued share capital. Prior to the share transfer, Triera was owned by Mr. Chan Kwun Fung, Mr. Chan Kwun Bun, Dr. Chan Yik Long, and Ms. Chan Yik Jyu with 50 shares, 20 shares, 16 shares, and 14 shares respectively, representing 50%, 20%, 16%, and 14% of Triera's issued share capital. After the share transfer, Triera is owned by CKF Family Limited, Mr. Chan Kwun Bun, Dr. Chan Yik Long, and Ms. Chan Yik Jyu with 50 shares, 20 shares, 16 shares, and 14 shares respectively, representing 50%, 20%, 16%, and 14% of Triera's issued share capital. In accordance with the confirmation letter signed by Mr. Chan Kwun Fung (as the grantor of the CKF Trust and sole member of the CKF Trust Protection Committee) and Mr. Chan Kwun Bun on August 10, 2015, they continue to act in concert regarding the shares.
