JINGCHENG MAC (00187): Li Zhongbo nominated as a candidate for non-executive director of the board

JINGCHENG MAC (00187) announced that on November 24, 2025, it received a written resignation letter from Mr. Li Junjie, the company's chairman. Due to changes in his work, Mr. Li Junjie applied to resign from the positions of Chairman of the Board, Non-Executive Director, Chairman and Chairperson of the Board's Strategic Committee, Member of the Board's Compensation and Performance Evaluation Committee, and as the authorized representative of the company as stipulated in Rule 3.05 of the Listing Rules of The Stock Exchange of Hong Kong Limited, as well as no longer serving as the company's legal representative. His resignation is effective from November 24, 2025. After his resignation, Mr. Li Junjie will not hold any position in the company or its subsidiaries. In accordance with the Company Law, the Articles of Association of Listed Companies, the Rules for the Listing of Stocks on the Shanghai Stock Exchange, as well as other laws, regulations, regulatory documents, and relevant provisions of the Company's Articles of Association, the company held its eleventh board meeting on November 24, 2025. The board unanimously approved the proposal to nominate Mr. Li Zhongbo as a candidate for Non-Executive Director of the eleventh board, in order to fill the vacancy left by Mr. Li Junjie's resignation. Mr. Li Zhongbo's nomination was recommended by the Nomination Committee of the eleventh board and will be presented for approval at an extraordinary general meeting of shareholders. The proposed term of office is from the date of approval at the extraordinary general meeting until the company's annual general meeting in 2025.
