Aerospace CH UAV (002389.SZ) plans to establish a low-altitude technology company through a joint venture with non-monetary assets worth 393 million yuan.

Aerospace CH UAV (002389.SZ) announced that, in order to seize the strategic opportunity of national low-altitude economic industry development, continuously enhance the company's core competitiveness and profitability, Rainbow Company intends to establish a target company in the form of joint venture investment with Saihang Intelligent Navigation and Duliang High-Tech Group. Rainbow Company intends to contribute non-monetary assets worth 393 million yuan (excluding taxes) to Chongqing Rainbow, subscribe to Chongqing Rainbow's registered capital of 393 million yuan, and acquire a total of 43.6438% equity in the target company (the above valuation is exclusive of taxes, the specific contribution amount and proportion should be based on the evaluation value result filed by the competent state-owned asset regulatory department). In order to realize part of the technology transfer income of Rainbow Company, according to the transaction arrangement, Rainbow Company will transfer its shares, and maintain a shareholding ratio of no less than 34%. The transaction price will be based on the evaluation value at the time of equity transfer.
