Wingtech Technology’s Subsidiary Nexperia Semiconductor, Whose Assets Were Frozen And Whose Control Was Restricted, Has Seen A New Development. On November 19, Dutch Minister Of Economic Affairs Karremans Issued A Statement Announcing The Suspension Of The Administrative Order Targeting Nexperia Semiconductor.
In Response, Wingtech Technology Announced On The Evening Of November 19 That Although The Ministerial Order Has Been Suspended, The October 7 Enterprise Court Ruling Remains In Force, Unaffected By The Suspension. All Emergency Measures Previously Disclosed By The Company From The Enterprise Court Are Still Ongoing.
The Suspended Ministerial Order From The Ministry Of Economic Affairs And Climate Policy, Issued In Late September, Required That Over A One‑Year Period Nexperia And All Its Subsidiaries, Branches, And Offices Worldwide—Covering 30 Entities—Make No Adjustments To Assets, Intellectual Property, Business, Or Personnel.
The Enterprise Court’s Emergency Measures Refer To An Urgent Petition Filed On October 1 By Nexperia Semiconductor Holdings, Represented By Its Statutory Director And Chief Legal Officer, To Initiate An Investigation And Implement Interim Actions. The Court Immediately Enforced Several Emergency Steps, Including Suspending Zhang Xuezheng From Serving As Executive Director Of Nexperia Semiconductor Holdings And Placing The Shares In Nexperia Semiconductor Holdings Held By A Wingtech Subsidiary Under Independent Third‑Party Management.
Wingtech Technology Noted That Its Control Over Nexperia Remains Constrained And Reminded Investors To Be Mindful Of Investment Risks. The Company Also Stated It Will Continue Working With International Law Firms To Pursue Legal Remedies To Protect The Lawful Rights And Interests Of The Company And Its Shareholders.
Nexperia Semiconductor Generated Approximately RMB 14.7 Billion In Revenue Last Year. In Its Third‑Quarter Report, Wingtech Technology Indicated That If Control Over Nexperia Is Not Restored By The End Of 2025, The Company May Face Temporary Reductions In Revenue, Profit, And Cash Flow.
