IDT INT'L (00167) and the joint offeror Horizon Heights Limited, jointly announced that the joint offeror completed the acquisition of approximately 312.4 million shares from the offeree on October 30, 2025, representing approximately 72.1% of the company's issued shares, at a total cost of approximately HK$1.856 billion, equivalent to HK$0.5941 per share sold. Under Rule 26.1 of the Takeover Code, the joint offeror must make a mandatory unconditional cash offer for all issued shares (excluding those held or agreed to be acquired by the joint offeror and any person acting in concert with them) at HK$0.5941 per share offer share after completion. This represents a discount of approximately 68.90% compared to the closing market price of HK$1.91 per share on the last trading day on the Stock Exchange of Hong Kong. The company has applied for the resumption of trading in its shares from 9 am on November 18, 2025.
