On the news front, on November 16, INSPUR DIGI ENT announced that on November 14, 2025 (after the trading hours of the Stock Exchange), the placing agent and the company entered into a placing agreement. Under the terms and conditions of the placing agreement, the placing agent agreed to use its best efforts to ensure that no less than six placing persons (themselves and their ultimate beneficial owners must be independent third parties) subscribe for a maximum of 67.634 million placing shares at a placing price of HKD 7.30 per share. Assuming that there is no change in the company's issued share capital between the date of this announcement and the completion of the placing, the maximum number of placing shares under the placing constitutes approximately 5.87% of the company's issued share capital as at the date of this announcement; and after the placing and issue of placing shares, it constitutes approximately 5.54% of the company's issued share capital. The placing price of HKD 7.30 per share represents a discount of approximately 6.77% to the closing price of HKD 7.83 per share on the last trading day of the Stock Exchange. The net proceeds from the placing will be used for: approximately 70% (equivalent to approximately HKD 342.70 million) for supplementing the long-term capital required for the research and development investment, business expansion, and growth plans in the fields of artificial intelligence, cloud, and industrial software; and approximately 30% (equivalent to approximately HKD 146.87 million) for supplementing the company's general working capital.
