According to informed sources, global private equity firms Warburg Pincus and Permira are in talks to acquire investment and accounting software maker Clearwater Analytics (CWAN.US). The source revealed that these two acquiring companies (who helped Clearwater go public in 2021) may reach a deal in the coming weeks. Warburg Pincus, Permira, and Clearwater have not immediately responded to requests for comment. The specific acquisition price being discussed by Warburg Pincus and Permira is currently unknown. The source indicated that negotiations are still ongoing, but there is a possibility of delay or no deal being reached, as well as the possibility of other bidders entering the picture. Following this news, the stock surged over 19% in after-hours trading. Data shows that Clearwater was valued at $5.5 billion when it went public in 2021, and as of Friday's close, its market value is approximately $5.63 billion. Established in 2004, Clearwater is headquartered in Boise, Idaho, and primarily provides software solutions to companies in the financial services sector. The financial report released this month shows that its third-quarter revenue increased by 77% year-on-year to $205 million; adjusted EBITDA increased by 84% to approximately $71 million. In April of this year, Clearwater completed the acquisition of asset management and hedge fund software service provider Enfusion Inc. According to the announcement at the time, the deal was valued at around $1.5 billion. Warburg Pincus and Permira invested in Clearwater in 2020 and supported the company's IPO (including over-allotment) the following year, raising $621 million in private equity investment. According to a filing from 2023, the two companies had planned to sell all their remaining Clearwater shares. Compiled data shows that as of June 30, Warburg Pincus still held 0.3% of the company's shares.
