WMCH GLOBAL (08208) and offeror BRIGHT LIGHT INTERNATIONAL HOLDINGS LIMITED jointly announced that on November 7, 2025, the offeror completed the purchase of 383,736,000 shares from WMCH Global Holdings Limited, representing approximately 53.297% of the company's total issued share capital as of the date of this joint announcement, at a total cash consideration of HK$ 19.1868 million, equivalent to HK$ 0.05 per share sold. Following the completion, in accordance with Rule 26.1 of the Takeovers Code, the offeror must make a mandatory unconditional cash offer for all issued shares (excluding those already owned or agreed to be acquired by the offeror and its concert parties) at a cash price of HK$ 0.05 per offer share, representing a discount of approximately 46.81% to the closing price of HK$ 0.094 per share on the last trading day on November 6, 2025 on the Stock Exchange. The company has applied to the Stock Exchange for resumption of trading of the shares on November 14, 2025 at 9:00 am.
As of the date of this joint announcement, the offeror is fully owned by Mr. Liu Huanjin, who is also the offeror's sole director.
