IAT Automobile Technology (300825.SZ) announced that on October 31, 2025, the company (Party B) signed a "Joint Venture Agreement" with Wuhu Hua'an Zhanxin Equity Investment Fund Partnership Enterprise (Limited Partnership) (referred to as Wuhu Hua'an Zhanxin, Party A). The two parties agreed to jointly invest in establishing a joint venture company, IAT Automobile Technology New Energy Powertrain (Fanchang) Co., Ltd. in Fanchang District, Wuhu City, Anhui Province, with operating activities. The registered capital of Fanchang IAT Automobile Technology is 672 million yuan, of which IAT Automobile Technology valued the equity of its wholly-owned subsidiary, Sichuan IAT Automobile Technology New Energy Vehicles Co., Ltd, at 425 million yuan, and the related technology of the integrated pure electric vehicle powertrain development project at 177 million yuan, totaling 602 million yuan subscribed to the registered capital of Fanchang IAT Automobile Technology, accounting for 89.5757% of the total registered capital; Wuhu Hua'an Zhanxin made a monetary contribution of 70 million yuan, subscribing to the registered capital of Fanchang IAT Automobile Technology at 70 million yuan, accounting for 10.4243% of the total registered capital. This external investment involves the company's wholly-owned subsidiary 100% equity and related intellectual property rights, and the joint venture company will be consolidated into the company's financial statements after establishment. According to the announcement, the company plans to establish a joint venture company in Wuhu City, Anhui Province to implement the new energy vehicle powertrain project, in order to further integrate high-quality industrial resources in the region, expand the existing production capacity, accurately meet the needs of "chain leading" enterprises in the industrial chain, improve customer response efficiency and delivery flexibility, and deepen business cooperation relationships. After the establishment of the joint venture company, it will promote research and development and mass production of electromagnetic clutches as core products, and gradually explore a more diversified product line and improve business layout.
