ALLTRONICS(00833) announced that it has completed the acquisition of 51% of the issued share capital of the target company (EME Limited) for a total consideration of HK$43.434 million (subject to adjustment). The transaction under the purchase agreement is expected to be completed on October 31, 2025. The consideration part, except for the deferred consideration, has been or will be paid by internal resources of the group, while the deferred consideration will be paid by the target group's payable dividends as stated in this announcement. The Board believes that the acquisition will not have any significant adverse impact on the financial condition or operations of the group. After completion, the target group will become an indirect non-wholly-owned subsidiary of the company, and the financial performance of the target group will be consolidated into the group's financial statements.
