In terms of news, AFFLUENT FDN and the offeror, China Venture Capital Holdings Limited, jointly announced that on October 15, 2025, the seller Oriental Castle Group Limited, the guarantor, and the offeror entered into a purchase agreement. The seller agreed to sell and the offeror agreed to purchase the shares for sale, which is 9 billion shares, equivalent to 75% of the total issued share capital of the company on the date of this joint announcement, for a total cash consideration of HK$80 million (i.e. HK$0.089 per share for the shares for sale). The offeror has fully paid for the shares for sale through the financing provided by the offeror. The completion was immediate after the signing of the purchase agreement. Following the completion, the offeror and its persons acting in concert own 9 billion shares, accounting for 75% of the total issued share capital of the company, and the seller is no longer a shareholder.
