LHN(01730) signs joint venture agreement with affiliated WPSTPY and joint venture partners.

LHN (01730) announced that its indirect wholly-owned subsidiary WPS (TPY) Pte. Ltd. (WPSTPY) has entered into a joint venture agreement with Macritchie Developments Pte. Ltd. (MAC), KSH Blazar Pte. Ltd. (KSHB), CP-Tagore Pte. Ltd. (CP), Soon Hock Fortune Pte. Ltd. (SHF), Petrus Capital Holdings Pte. Ltd. (PCH), Tay Lian Xie Tarol (TAY), Chin Hong Oon (CHO) (collectively referred to as "Joint Venture Partners", collectively as the "Joint Venture Partners") and Thomson Gem Pte. Ltd. (Joint Venture Company) dated October 22, 2025. The Joint Venture Company will issue and allot new shares, with the Joint Venture Partners subscribing to the new shares of the Joint Venture Company (Joint Venture Matters). Other than MAC being an existing joint venture partner of the group, KSHB, CP, SHF, PCH, TAY, and CHO are all independent third parties. The Joint Venture Company has successfully bid for a collective acquisition project of a property located at 680 Upper Thomson Road, Singapore 787103. Upon completion of the property acquisition and obtaining all necessary approvals from relevant authorities, the Joint Venture Company will carry out the business of redeveloping the property. Entering into the Joint Venture Matters allows the group to expand its property development business. Through the joint venture structure, the group can effectively diversify development risks and leverage on the complementary resources, experience, and expertise of other Joint Venture Partners to enhance project execution efficiency and long-term returns.
