ZHONGHUA GAS (08246) announced that on October 20, 2025, the company (as the issuer) entered into a loan capitalization agreement with Mr. Hu Yi Shi, the Chairman and Executive Director of the Board of Directors (as the subscriber). The company will issue 140 million capitalization shares to the subscriber at a price of HK$0.098 per capitalization share. The total subscription price for all capitalization shares to be paid by Mr. Hu Yi Shi will be settled through capitalization and offsetting part of the loan after the completion of the loan capitalization.
The loan refers to the outstanding principal amount provided by Mr. Hu Yi Shi to the group for general operating funds since February 8, 2024. As of the date of this announcement, the loan amount is HK$36,861,640. The loan is unsecured and interest-free. Mr. Hu Yi Shi has agreed not to request repayment until the group has sufficient cash resources to repay.
