Beijing LabTech Instruments (688056.SH) announced that on October 20, 2025, LabTech Holdings, Inc. (LabTech Holdings or the Transferor), a shareholder holding more than 5% of the company's shares, signed a Share Transfer Agreement with Qingdao Innovation Investment Co., Ltd. (Qingdao Innovation Investment or the Transferee). LabTech Holdings plans to transfer 4.1455 million shares of the companys unlimited tradable shares, representing 6.15% of the total shares, to Qingdao Innovation Investment at a price of 27.50 per share.
After the completion of this agreement, Qingdao Innovation Investment will hold 4.1455 million shares of the company, accounting for 6.15% of the total shares, and become a shareholder holding more than 5% of the company.
This agreement transfer will not change the controlling shareholder or actual controller of the company, will not trigger a mandatory tender offer, and will not have a significant impact on the company's corporate governance structure or ongoing operations.
