S.F. Holding (002352.SZ) announced that the company held a board of directors meeting and a shareholders' meeting on August 28, 2025, and September 15, 2025 respectively, to approve the "Common Growth" equity incentive plan (A shares) of S.F. Holding Limited (Draft). The shares for the incentive plan were voluntarily donated by the company's controlling shareholder Shenzhen Mindray Holdings Development Co., Ltd. ("Mindray Holdings"), involving a total of no more than 200 million A shares, accounting for approximately 4% of the company's current total share capital.
Mindray Holdings transferred its 200 million A shares of the company to the S.F. Holding Limited - "Common Growth" equity incentive plan (A shares) securities account opened at China Securities Depository and Clearing Corporation on September 17, 2025. Mindray Holdings donated the 200 million A shares to the incentive plan at a fair value of approximately 7.414 billion yuan, calculated in accordance with the rules for block trading of main board stocks in the Shenzhen Stock Exchange Trading Rules (i.e. 90% of the company's A share closing price on the trading day before the transfer registration date).
This equity change will not result in any changes to the company's controlling shareholder or actual controller.
