WEIMOB INC (02013) Announcement: (i) On September 17, 2025 (after trading hours), the company entered into a subscription agreement with the subscriber, Wujiziben Management Limited, under which the subscriber conditionally agreed to subscribe, and the company conditionally agreed to issue and allot a total of 688 million subscription shares at a subscription price of HK$2.26 per share; and (ii) On September 17, 2025 (after trading hours), the company entered into a placement agreement with the placing agent in relation to the subscription, whereby the placing agent was mainly engaged to facilitate the settlement of the subscription shares under the subscription agreement. The subscription price of HK$2.26 per share represents a discount of approximately 8.87% compared to the closing price of HK$2.48 per share on the Hong Kong Stock Exchange on the date of the subscription agreement.
The total amount raised from the subscription is expected to be approximately HK$1.556 billion. The net proceeds from the subscription are expected to be approximately HK$1.555 billion. After deducting related expenses, the net price per share is approximately HK$2.26 per share.
