PINE TECH (01079) and the offeror MICRONOVA LIMITED jointly announced that as of September 16, 2025 (Tuesday) at 4:00 pm (the deadline for accepting the offer as stated in the comprehensive document), the offeror has received valid acceptances for a total of 794,400 offer shares (accepted shares) under the share offer, representing approximately 0.06% of the total issued share capital of the company as of the date of this joint announcement; and valid acceptances for a total of 45,780,000 share options (accepted share options) under the option offer, representing approximately 82.07% of the share options under the option offer. Following the completion of the acquisition, and just before the offer was available for acceptance starting from August 26, 2025, the offeror, Mr. X, and any acting in concert persons collectively hold, control, or instruct 714 million shares, representing approximately 53.83% of the total issued share capital of the company as of the date of this joint announcement. Following the deadline for the offer and as of the date of this joint announcement, taking into account the valid acceptances of the accepted shares (which shall only be effective upon transfer of such accepted shares to the offeror), the offeror, Mr. X, and any acting in concert persons collectively hold interests in 715 million shares, representing approximately 53.89% of the total issued share capital of the company as of the date of this joint announcement.
