WAI CHI HOLD (01305) intends to invest 155 million Hong Kong dollars to acquire a piece of land in Luoyang Town, Boluo County, Guangdong Province, for the establishment of core production facilities.

WAI CHI HOLD (01305) announced that on September 15, 2025, the company's indirectly wholly-owned subsidiary, Techwide Management Company Limited, intends to acquire all of the issued ordinary shares of Joyful Family Consultant Limited from Ms. Lu Fang for a consideration of HK$155 million. It is reported that the target company is mainly engaged in investment holding and currently holds all the shares of Joyful Optoelectronics. Joyful Optoelectronics is the owner of the land located in Hongda (International) Industrial Manufacturing City, Luoyang Town, Boluo County, Guangdong Province, China, with a total land use area of approximately 86,118 square meters. The board of directors believes that the acquisition is complementary to the group's existing LED backlight and lighting product portfolio, allowing the group to further expand its business scale and scope in LED backlight and lighting products. By increasing productivity and improving operational efficiency at a lower cost, it will bring more lucrative returns to shareholders. The company's core business is manufacturing LED backlights, lighting products, and semiconductor storage chips, requiring scalable production capacity to meet the growing market demand. Through the acquisition of the land, the company will be able to establish core production facilities specifically for integrated manufacturing, production, and related processes, reducing reliance on third-party facilities and lowering production and operating costs. Owning the land also provides flexibility for the group's production facilities to adapt to market trends, emerging and advanced technologies, and/or key businesses with high economic growth potential. As the group's current production capacity is insufficient to meet customer order demands, it is necessary for the group to expand capacity according to market development and customer demand. In this regard, the available land use area provides ample space for the group, allowing it to expand capacity at the right time to accommodate new, progressive, and revenue-generating product lines. The implementation of acquiring the land will also enable several assembly plants in Shenzhen production base to be relocated to the land, consolidating and ensuring the smooth and streamlined operation of production lines. Furthermore, the land will meet the further expansion needs of the group's future growth. Therefore, by establishing a new production base and introducing advanced production equipment, the acquisition aims to expand the group's capacity to address the pressing production bottleneck issue, meet the growing market demand, and lay a solid foundation for the group's continued expansion and business growth.
