WH Group (00288) announced that on September 5, 2025 (New York time), the chairman and executive director of the board, Wan Long, has agreed to purchase 1.8 million shares of Smithfield shares in the secondary offering of Smithfield at the offer price and under the same terms as the other Smithfield shares offered, representing approximately 8.01% of the Smithfield shares sold in the secondary offering and approximately 0.46% of the total issued share capital of Smithfield as of the date of this announcement. Wan Long will pay approximately $41.85 million for the subscription.
The subscription reflects Wan Long's further endorsement of Smithfield Group's business development and his confidence in the future development of Smithfield Group. The board believes that although the subscription is not part of the group's general and day-to-day business operations, it is conducted on ordinary commercial terms, is fair and reasonable, and is in the overall interest of the company and its shareholders.
