GOFINTECH QUANT (00290) announced that after consideration, the final deadline for the original subscription agreement is September 4, 2025, and the preconditions under the original subscription agreement have not been met. In view of the current market conditions, the company and the subscribers have had fair negotiations regarding the original subscription matters, and have agreed not to proceed with the original subscription matters under the original subscription agreement. Therefore, the original subscription agreement has been terminated and the original subscription matters will not proceed. Neither party will make any claim against the other party under the original subscription agreement. On September 4, 2025, the company entered into 11 separate subscription agreements with 11 subscribers, under which the company conditionally agreed to issue a total of 745 million subscription shares to the subscribers, representing approximately 7.57% of the enlarged issued share capital of the company. The subscription price per subscription share is HK$1.78, at a discount of approximately 16.43% to the closing price of HK$2.13 per share on September 4. The total proceeds and net proceeds raised through the subscription matters are approximately HK$1.3264 billion and HK$1.3214 billion respectively.
