EASOU TECH (02550) announced that on July 23, 2025, the company has registered and co-founded Novus Infusion Partners Limited (Novus Infusion) with Super Computer Technology Limited (Super Computer, one of Huawei Cloud Solution Suppliers). The company and Super Computer will subscribe to 60% and 40% of Novus Infusion's share capital, respectively, with HK$3 million and HK$2 million in cash, making Novus Infusion a direct non-wholly owned subsidiary of the company. Novus Infusion's main business will be issuing Real World Assets (RWA). On July 23, 2025, Novus Infusion entered into a sponsorship agreement with a Hong Kong limited liability company owned by Greenland LPF (the Sponsor), where the Sponsor was appointed as the Web3.0 solution service provider. The Sponsor has been focused on driving the transformation of the Web3.0 industry through digital solutions and blockchain technology services, especially in Web3.0 projects in mainland China and Hong Kong's education, arts and culture, and ESG industries, including tokenization. Under the sponsorship agreement, Novus Infusion and the Sponsor agreed to collaborate on developing and implementing a blockchain-based RWA platform, focusing on the tokenization and management of intangible cultural intellectual property, as well as related digital asset projects. Specifically, the Sponsor is required to develop and provide blockchain solutions, including tokenization and on-chain management of intangible cultural intellectual property assets, establishing cross-border and cross-chain RWA ecosystems, user interfaces for content providers, platform managers, and asset holders, as well as compliance mechanisms for intellectual property use and cross-border asset flows; while Novus Infusion is to provide access rights to digital content and cultural intellectual property as related assets, technical support for platform development, support for pilot testing with partners and stakeholders, as well as feedback on industry standards, content validation, and compliance. The development and implementation of the RWA platform will be the first pilot case of the company's collaboration with Greenland Innovation Group on cross-border and cross-chain RWA products. After the platform development is completed, the derivative intellectual property of the platform will be jointly owned by Novus Infusion and the Sponsor. The company currently anticipates that the total cooperation budget under the sponsorship agreement will be less than HK$5 million, including platform development and upgrades, legal consultation, audits, and compliance fees. Furthermore, the Sponsor has applied for up to HK$500,000 in funding from Hong Kong Cyberport Management Limited under its blockchain and Web3.0 pilot funding program, which will be used for Novus Infusion's cooperation with the Sponsor under the sponsorship agreement. The sponsorship and support provided by Novus Infusion under the sponsorship agreement are subject to several conditions, including approval from Cyberport for the funding.
