AOM INT'L (00381) announced that on July 4, 2025, the company intends to issue approximately 157.8 million subscription shares to Mr. Lin Feng's wholly-owned Sheen World International Holdings Limited. The subscription price is HK$0.4309 per subscription share, representing a discount of approximately 11.15% from the closing market price of HK$0.485 per share on the date of the subscription agreement.
The subscriber is required to pay approximately HK$68 million in accordance with the subscription agreement, which will be paid through the following methods: (i) offsetting HK$34 million of the company's second batch of convertible bonds in Hubei payable to the subscriber; and (ii) early redemption of the company's third batch of convertible bonds in Hubei. At that time, the company will offset the redemption amount of HK$34 million due to the subscriber under the third batch of convertible bonds in Hubei from the subscription amount payable by the subscriber.
