The subscription price of HK$0.60 per share represents a discount of approximately 15.49% to the closing market price of HK$0.71 per share on the Stock Exchange of Hong Kong (SEHK) on July 2, 2025 (the date of the subscription agreement); and a discount of approximately 20.00% to the average closing market price of HK$0.75 per share on the SEHK for the five consecutive trading days immediately preceding the subscription agreement date.
