United Parcel Service (UPS.US) announced on Thursday that it has reached an agreement to acquire the Canadian supply chain management company Andlauer Healthcare Group Inc. (ANDHF.US). The transaction is expected to be completed in the second half of 2025. Andlauer Healthcare is known in the healthcare sector for providing customized third-party logistics solutions and professional cold chain carriage services through Carriage Services Inc. Through this acquisition, UPS Healthcare, a subsidiary of United Parcel Service, will benefit from Andlauer Healthcare's temperature-controlled facilities and professional cold chain transport capabilities. Under the terms of the agreement, shareholders of Andlauer Healthcare will receive a cash consideration of $55 per share, with the overall transaction valued at approximately $2.2 billion Canadian dollars (equivalent to $1.6 billion US dollars). This acquisition will significantly enhance UPS Healthcare's end-to-end cold chain service capabilities for global customers, particularly in critical areas such as precision temperature-controlled logistics. Kate Gutmann, Executive Vice President and President of International, Healthcare, and Supply Chain Solutions at United Parcel Service, stated: "Compared to the past, the new generation of treatments brings unprecedented complexity, expanding the needs of healthcare customers and increasing demand for UPS Healthcare's integrated end-to-end cold chain solutions globally. Andlauer Healthcare will help us provide stronger service capabilities for our customers, supporting first-class patient treatment outcomes and contributing to overall growth plans for our entire business."
