AQUILA ACQ-Z (07836) announcement, the redemption price has been determined as HKD 10.00 per share for each Aquila Class A share, calculated as the total amount in the custodian account (including interest earned on funds held in the custodian account that have not been disbursed or approved by Aquila's board of directors for expenses or taxes) divided by the number of Aquila Class A shares issued and outstanding as of the date of this announcement (i.e. two business days before the special shareholders' meeting).
Upon settlement, the redemption price is expected to be paid to redeeming Aquila shareholders on the settlement date and within five business days after the settlement date under any circumstance. If the settlement date is March 10, 2025, the payment of the redemption price will be made on or before March 17, 2025.
If the special purpose acquisition company merger transaction is not approved or completed for any reason, Aquila will not redeem any Aquila Class A shares, and all redemption requests will be canceled.
