GREENTOWN CHINA (03900) announced today that the company has declared the maximum acceptance amounts for its tender offer to purchase up to $446.5 million of 4.7% outstanding senior notes due in 2025 (ISIN code: XS2247552446) (April 2025 Notes) and up to $294.5 million of 5.65% outstanding senior notes due in 2025 (ISIN code: XS2193529562) (July 2025 Notes, together with the April 2025 Notes referred to as the "relevant notes") that will mature in 2025. The tender offer was made in accordance with the purchase offer dated February 13, 2025.
The tender offer expired at 5:00 PM Central European Time on February 20, 2025. As of the expiration date, approximately $312 million in principal amount of the April 2025 Notes and approximately $140 million in principal amount of the July 2025 Notes were validly submitted pursuant to the tender offer.
The company will accept all validly submitted April 2025 Notes and July 2025 Notes under the tender offer, resulting in a maximum acceptance amount of approximately $312 million for the April 2025 Notes and approximately $140 million for the July 2025 Notes. Therefore, the total maximum acceptance amount for the two types of relevant notes is approximately $452 million.
The company will purchase the April 2025 Notes with a total principal amount of approximately $312 million and the July 2025 Notes with a total principal amount of approximately $140 million. Accrued interest on the April 2025 Notes and July 2025 Notes is $15.14 and $6.59 per $1,000 of outstanding principal, respectively.
The purchased relevant notes are expected to be settled on or around February 25, 2025. After the settlement of the purchased relevant notes, the outstanding principal amount of the April 2025 Notes and July 2025 Notes will be approximately $134 million and $155 million, respectively.
