BII TRANS TECH (01522) intends to publicly list and sell 49% equity of Metro Technology on the Beijing Property Exchange.

BII TRANS TECH (01522) announces that on February 13, 2025 (after trading hours), the group will publicly list for sale 49% of the equity in Metro Technology on the Beijing Property Rights Exchange.
As a state-owned listed company, according to relevant Chinese laws and regulations on the disposal of state-owned equity, state-owned assets held by the company must be publicly disposed of on the Property Rights Exchange established in accordance with applicable Chinese laws and regulations.
In accordance with relevant Chinese laws and regulations, the potential sale will be conducted in a public listing on the Beijing Property Rights Exchange. The successful bidder (as the transferee) will then enter into a share transfer agreement with City Rail Investment (as the transferor) in accordance with the rules of the Beijing Property Rights Exchange.
Since the establishment of Metro Technology, the group has continuously obtained returns on investment from its investment in Metro Technology. However, in recent years, the group has been strengthening its strategic focus on core businesses, as the growth potential of Metro Technology's core business is limited and cannot provide more support for the group's strategic development. In addition, Metro Technology's performance has fluctuated in recent years. If the potential sale is realized, the group will be able to lock in investment returns. Therefore, due to the uncertain future growth potential of Metro Technology, and the unclear synergies with the group's strategic development, as well as to mitigate further performance fluctuations and secure investment returns, the board believes that if the potential sale is completed, it will not have any adverse impact on the group's business and financial performance.
Furthermore, to ensure that the group's operations are not affected by Metro Technology's business after the potential sale, Metro Technology has committed to not participate in related business activities involving automatic ticket inspection and passenger information systems in the future.
