GP Holdings (01557) announces that on February 7, 2025, the company noted that Ince & Co (the petitioner) submitted a winding-up petition to the High Court of the Hong Kong Special Administrative Region on January 27, 2025, under Chapter 32 of the Companies (Winding Up and Miscellaneous Provisions) Ordinance against its wholly-owned subsidiary, Jian Hong Groundworks Limited (Jian Hong Groundworks), involving outstanding legal fees and interest of approximately HK$2.1 million. The petition is scheduled for hearing in court on April 2, 2025. Jian Hong Groundworks will actively engage in discussions with the petitioner to seek viable solutions and seek legal advice while taking appropriate actions as advised. As of the date of this announcement, the group has sufficient financial resources to settle the outstanding amount stated in the petition, and the petition has no significant adverse impact on the group's financial performance, financial position and business operations.
