FW HOLDINGS (00572) announces that on January 15, 2025 (after trading hours), the Company entered into a subscription agreement with Mr. Zhu Yuxin, the subscriber. The Company conditionally agreed to issue and allot, while the subscriber conditionally agreed to subscribe for 23.183 million shares at a subscription price of HK$0.6 per share, totaling HK$13.913 million. The subscription price will be settled by the subscriber by offsetting the same amount of outstanding amount under acceptance notes. As of the announcement date, the total outstanding amount (including accrued interest) under the acceptance notes is HK$13.913 million. The Company plans to redeem all the acceptance notes after completion.
