CH BEIDAHUANG (00039) announced that on January 13, 2025, the company entered into a framework agreement with Mr. Liu Qinghe (the potential seller). According to the agreement, the company or its nominated subsidiary may acquire all the issued shares of Huapan and Hao Resources Limited from the potential seller.
As of the date of the agreement, the potential seller holds all the issued share capital of the target company. The target company is a company registered in Laos, primarily engaged in investment development. In 2016, it obtained the BOT franchise rights for the "Laos Moh Ding International Port Health and Plant Quarantine Center" through bidding (the BOT project). The cooperation scope authorized by the BOT project covers all international health and plant quarantine administrative duties and corresponding fee rights for the entry and exit ports connecting to China in the Moh Ding area of Luang Namtha Province, Laos (including existing road ports, future road and highway, railway set up entry and exit ports). According to the BOT investment cooperation agreement signed with the Luang Namtha Province government of Laos, after the completion of the BOT project construction, the target company will jointly establish a project operation company with the Luang Namtha Province government of Laos, with an operation period of 90 years. During the operation cooperation period, the target company can receive 90% of the profits of the project operation company each year, and the Luang Namtha Province government of Laos can receive 10% of the profits of the project operation company each year. Upon expiration of the operation period, the BOT project will be transferred to the Luang Namtha Province government of Laos for free. In addition, according to the BOT investment cooperation agreement, the investment rights and income rights of commercial buildings, warehouses, logistics, supporting hotels, and other real estate derived from the BOT project belong to the target company. The target company can sell and realize the real estate developed from the BOT project (shops, residential, warehouses, hotels, logistics properties, etc.) or hold it for rental and business operation.
