Kairuide Holding (002072.SZ) issued an announcement stating that the company recently received a "Decision on Issuing a Warning Letter to Wang Jian" (No. [2023]34) from the Hubei Securities Regulatory Bureau of the China Securities Regulatory Commission (hereinafter referred to as the "Hubei Securities Regulatory Bureau").
It is reported that in December 2021, Wang Jian, the controlling shareholder of the company, committed in the company's restructuring plan (draft) and the signed restructuring investment agreement that the company would achieve operating income of 400 million yuan, 600 million yuan, and 900 million yuan in 2022, 2023, and 2024, respectively. On February 17, 2023, the company disclosed its audited 2022 financial report, which showed that the operating income for 2022 was 359 million yuan, failing to reach the committed amount. The aforementioned actions of Wang Jian, the controlling shareholder of the company, constitute a violation of the commitment as stipulated in Article 15, Paragraph 1 of the "Regulatory Guidelines for Listed Companies No. 4 - Promises by Listed Companies and Their Related Parties" (CSRC Announcement [2022]16).
