Hangzhou Minsheng Healthcare (301507.SZ) jointly signed a strategic cooperation agreement with Zhongke Jiayi and other entities.

Announcement from Hangzhou Minsheng Healthcare (301507.SZ): The company held its sixth meeting of the second board of directors on December 23, 2024, where it approved the "Proposal on Signing Agreement with Zhongke Jiayi and other parties" and agreed for the company to acquire 100% equity of Minsheng Zhongke Jiayi (Shandong) Bioengineering Co., Ltd. from Minsheng Zhongke (Zhejiang), in which Zhongke Jiayi and other parties will jointly sign a "Strategic Cooperation Agreement". The company plans for its wholly-owned subsidiary, Minsheng Zhongke Jiayi (Zhejiang) Bioengineering Co., Ltd. (referred to as "Minsheng Zhongke (Zhejiang)"), to acquire 100% equity of the target company held by its existing shareholders. After the target company's existing shareholders contribute their entire equity of the target company to increase the capital of Minsheng Zhongke (Zhejiang), the registered capital of Minsheng Zhongke (Zhejiang) will increase to 160 million RMB. The existing shareholders of the target company will collectively hold 45% equity of Minsheng Zhongke (Zhejiang). Upon completion of the transaction, the company's equity in Minsheng Zhongke (Zhejiang) will be diluted from 100% to 55%, and Minsheng Zhongke (Zhejiang) will change from being a wholly-owned subsidiary of the company to a holding subsidiary. The target company will become a wholly-owned subsidiary of Minsheng Zhongke (Zhejiang) and will be included in the company's consolidated financial statements. The announcement states that the signing of this cooperation agreement will help expand the company's business development space in the probiotics field, enhance research and development capabilities and market competitiveness, strengthen the company's overall influence, and further increase the company's business scale and profitability.
