Shanghai Metersbonwe Fashion & Accessories (002269.SZ) announced that the company, along with its chairman and general manager Mr. Zhou Chengjian and CFO Ms. Li Ying, received an administrative regulatory measure decision from the Shanghai Regulatory Bureau of the China Securities Regulatory Commission (hereinafter referred to as the "Shanghai Securities Regulatory Bureau") on December 20, 2024, titled "Decision on Issuing Warning Letters to Shanghai Metersbonwe Fashion & Accessories Co., Ltd., Zhou Chengjian, and Li Ying".
Upon investigation, the company was found to have committed the following violations: Shanghai Metersbonwe Fashion & Accessories' subsidiary Shanghai Kusheng Clothing Co., Ltd. owned 3 building structures at No. 800 Kangqiao East Road in Shanghai, with a total certificate area of 32,202.84 square meters. The company accounted for the entire property as investment real estate in its 2023 annual report. It was found that 422 square meters of the property were still being used for the company's brand-operated store business at the end of 2023, and were only rented out to external parties in September 2024, leading to the property at No. 800 Kangqiao East Road not meeting the recognition conditions stipulated in Article 2 and 4 of "Enterprise Accounting Standard No. 3 - Investment Real Estate" at the end of 2023. The inaccurate recognition of investment real estate in the company's 2023 annual report violated Article 3, Paragraph 1 of the "Regulations on Information Disclosure by Listed Companies" (CSRC Order No. 182).
In accordance with Article 52, Paragraph 3 of the "Regulations on Information Disclosure by Listed Companies", the Shanghai Securities Regulatory Bureau decided to issue a warning letter to Shanghai Metersbonwe Fashion & Accessories as an administrative regulatory measure. Chairman and General Manager Zhou Chengjian bears primary responsibility for the company's actions, violating Article 4 of the "Regulations on Information Disclosure by Listed Companies". Pursuant to Article 51, Paragraph 1, Paragraph 3, and Article 52, Paragraph 3 of the "Regulations on Information Disclosure by Listed Companies", the Shanghai Securities Regulatory Bureau decided to issue a warning letter to Zhou Chengjian as an administrative regulatory measure. CFO Li Ying bears primary responsibility for the company's actions, violating Article 4 of the "Regulations on Information Disclosure by Listed Companies". In accordance with Article 51, Paragraph 1, Paragraph 3, and Article 52, Paragraph 3 of the "Regulations on Information Disclosure by Listed Companies", the Shanghai Securities Regulatory Bureau decided to issue a warning letter to Li Ying as an administrative regulatory measure.
