Nordstrom, Inc. (JWN.US) announced on Monday that it has agreed to be acquired by a consortium composed of the company's founder John Nordstrom, great-grandson Erik Nordstrom, and brothers Pete Nordstrom, along with Mexican retail chain El Puerto de Liverpool. This acquisition will privatize Nordstrom, Inc. and bring in a new strategic chapter for the company. Under the terms of the transaction, the Nordstrom, Inc. family will hold a majority stake of 50.1% in the newly privatized company, with Liverpool receiving 49.9% of the shares, marking the completion of the all-cash deal. With the news of the privatization acquisition heating up, Nordstrom, Inc.'s stock price has already surpassed the market and its department store competitors like Macy's, Inc. (M.US), Kohl's (KSS.US), and Dillard's (DDS.US) in 2024. The price paid to common stock shareholders in this deal is $24.25 per share, 42% higher than the stock price reported after the initial announcement of the privatization measure in March. On the business front, Nordstrom, Inc. has made significant progress in its customer-centric strategy recently, with second-quarter results showing improvements in both profit and revenue, along with a 6.2% increase in digital sales year-over-year. Analysts believe that this acquisition will provide Nordstrom, Inc. with greater flexibility to better cope with the changes in the retail industry, while also easing the pressure of public markets and quarterly earnings reports. However, this transfer of ownership may also have an impact on some of Nordstrom, Inc.'s key suppliers, such as Levi Strauss & Co. Class A (LEVI.US), Lululemon Athletica (LULU.US), Under Armour, Inc.
