GOGOX (02246) announced that on December 24, 2024, the company subscribed for a certain number of participating shares with a subscription amount of 65 million Hong Kong dollars.
The participating shares refer to the non-voting, redeemable shares in the fund's independent investment portfolio issued as "SP2-Class A Shares" in accordance with the terms of the private placement memorandum.
It is reported that the fund (Homeric Segregated Portfolio Company) is a exempted limited company registered under the laws of the Cayman Islands and registered as an independent investment portfolio company. As an independent investment portfolio company, the fund is authorized to establish one or more independent investment portfolios to separate the assets and liabilities held by the fund in one independent investment portfolio from those held by the fund in any other independent investment portfolio, and/or the fund's overall assets and liabilities.
The fund has been registered with the Cayman Islands Monetary Authority as a regulated mutual fund under section 4(3) of the Mutual Funds Law (Revised). The manager (Homeric Genesis Investment Management Co., Limited) is a limited company registered in Hong Kong, China. It holds a license with Central No. BSJ934, allowing it to engage in regulated activities for Class 4 (providing advice on securities) and Class 9 (providing asset management).
The Group subscribed to the fund for investment purposes. The directors believe that this subscription provides the Group with a balanced and diversified investment portfolio as well as opportunities for potential capital appreciation. The subscription also enables the Group to participate in investment-grade debt and fixed income instruments, while leveraging the expertise of the fund and the manager to reduce direct investment risks.
