7ROAD (00797) announced that on December 23, 2024, the company's indirectly wholly-owned subsidiary Wuxi Qidao Yunrui plans to acquire all the partnership interests of Shanghai Lingsuda Technology Partnership Enterprise (Limited Partnership) from Wuxi Feiye and Beihai Hexi, for a total consideration of approximately RMB 122.3 million. Upon completion of this acquisition, the partnership enterprise will become a wholly-owned subsidiary of the company, and Wuxi 7ROAD Technology still has an obligation to inject RMB 9.85 million into the partnership enterprise. It is reported that the partnership enterprise is mainly engaged in investment holding. As of the date of this announcement, the partnership enterprise mainly invests in the invested company and holds 0.5317% of the issued shares of the invested company. The invested company operates a smart travel platform. Since its establishment, the invested company has received investments led by the Ministry of Industry and Information Technology, the State-owned Assets Supervision and Administration Commission, and the Ministry of Science and Technology with investments from three central enterprises, as well as investments from Tencent, Alibaba, and other companies. The smart travel platform is currently one of the leading platforms in China's independent travel platforms in terms of order volume, with increasing revenue year by year. Considering the industry position, business prospects, and future capitalization plans of the invested company, the company believes that the investment expectations of the invested company through the acquisition will bring financial returns to the company.
