Guilin Tourism Corporation (000978.SZ) announced that the Board of Directors received a written resignation report from Mr. Shen Guangming, the Chairman of the Company, on November 19, 2024. Due to a change in job responsibilities, Mr. Shen Guangming requested to resign from the positions of director, chairman of the seventh board of directors, and member of the board's special committees (Convenor of the Strategic Committee, member of the Audit Committee, member of the Nomination Committee, and member of the Remuneration and Evaluation Committee) of the Company. After resigning, Mr. Shen Guangming will no longer hold any position in the Company (including its subsidiary companies).
Before electing a new Chairman, in accordance with the Company's Articles of Association, which state that "the Vice Chairman assists the Chairman in their duties, and in cases where the Chairman is unable or fails to perform their duties, the Vice Chairman shall perform the duties," Mr. Wen Zheng, the Vice Chairman of the Company, will assume the responsibilities of the Chairman.
