China Telecom Corporation (00728) announced that the issuance of shares by Quantumctek Co., Ltd. to China Telecom Quantum Information Technology Group Co., Ltd. (China Telecom Quantum Group) has obtained the "Notice of Shanghai Stock Exchange on the Review Opinion of Quantumctek Co., Ltd. Issuing Shares to Specific Objects," which states that Quantumctek Co., Ltd.'s issuance application meets the issuance conditions, listing requirements, and information disclosure requirements. According to the issuance application and review documents of Quantumctek Co., Ltd., the number of shares to be issued in this offering has been adjusted from 24.1123 million shares to 22.4866 million shares, and the total amount to be raised has been adjusted from approximately RMB 1.903 billion to approximately RMB 1.775 billion. Based on the adjusted subscription amount, after this subscription is completed, China Telecom Quantum Group will hold approximately 21.86% of Quantumctek Co., Ltd. As disclosed in the announcement, China Telecom Quantum Group has the right to control the board of directors of Quantumctek Co., Ltd., and Quantumctek Co., Ltd. will become an indirectly non-wholly-owned subsidiary of the company. In accordance with applicable accounting standards, Quantumctek Co., Ltd.'s financial performance will be included in the group's consolidated financial statements. Aside from the disclosed information, all other terms and conditions of the share subscription agreement remain unchanged and valid. This transaction can only be implemented after approval by the China Securities Regulatory Commission. The final issuance scheme shall be subject to the approved registration scheme by the China Securities Regulatory Commission.
