GF SEC (01776) announced that the company received a statement and apology from independent director Mr. Wang Dashu on November 12, 2024 regarding the short-term trading of the company's stock by his spouse, Ms. Wang Yan, between September 30 and November 8, 2024. It was revealed that the short-term trading resulted in a profit of 1,765.00 yuan, which has been returned to the company in full. Mr. Wang Dashu and Ms. Wang Yan have committed to abide by the prohibition of short-term trading as stipulated in Article 44 of the Securities Law, and have agreed not to sell the company's stock within six months of their last purchase, and not to buy the company's stock within six months of their last sale.
The company understands that this incident was due to a lack of understanding of relevant laws and regulations. Mr. Wang Dashu has promised to study and strictly comply with relevant laws, regulations, and code of conduct in the future, and to enhance supervision of his family members' trading of the company's stock to prevent such incidents from happening again.
