China Tourism Group Duty Free Corporation (01880) announced that, in order to meet the operational development needs of the company, in accordance with the relevant laws and regulations of the People's Republic of China Company Law and the Company's Articles of Association, and with the nomination of the company's general manager and approval of the Nomination Committee of the Board of Directors, the Board of Directors at the 16th meeting of the fifth session held on September 23, 2024 agreed to appoint Wang Yuehao as the company's deputy general manager, with a term from the date of the Board's approval (September 23, 2024) until the end of the term of the fifth session of the Board of Directors. Based on the company's long-term goals and development strategy, and in order to further improve the company's governance structure and enhance the overall level of governance, in accordance with the relevant laws and regulations of the Company Law and the Articles of Association, nominated by the company's controlling shareholder China Tourism Group and approved by the Nomination Committee, the Board of Directors proposed to appoint Wang Yuehao as an executive director of the fifth session of the Board of Directors at the Board meeting; and appoint Fan Yunjun and Liu Kun as non-executive directors of the fifth session of the Board of Directors. The terms of the above-mentioned director candidates will be from the date of approval by the company's shareholders' meeting until the end of the term of the fifth session of the Board of Directors.
