Nenghui Technology (301046.SZ) announced that on September 2, 2026, its controlling shareholder and actual controller Luo Chuanqu's concerted action party, Shanghai Nenghui Investment Holding Co., Ltd. (referred to as "Nenghui Holdings"), and Luo Shan Tonghui Management Consulting Partnership (Limited Partnership) (referred to as "Luo Shan Tonghui") signed a Share Transfer Agreement with Shanghai Zhaowen Private Fund Management Co., Ltd. (on behalf of "Zhaowen Dahong No. 2 Private Securities Investment Fund") (referred to as "Zhaowen Fund"), intending to transfer a total of 8.4294 million unrestricted tradable shares, accounting for 5% of the company's total share capital, to the transferee through a transfer agreement. The total transfer price amounts to 169 million yuan.

(referred to as Nenghui Holdings) and Luoshan Tonghui Management Consulting Partnership (Limited Partnership) (referred to as Luoshan Tonghui), signed a "Share Transfer Agreement" with Shanghai Zhaowen Private Equity Fund Management Co., Ltd. (representing the "Zhaowen Dahong No. 2 Private Securities Investment Fund") (referred to as Zhaowen Fund) on September 2, 2026. They intend to transfer a total of 8,429,400 shares of unrestricted tradable stock held by them to the transferee through an agreement transfer, which represents 5% of the company's total share capital. The total transfer price amounts to 169 million yuan. Upon completion of the agreement transfer, the company's controlling shareholder and actual controller, Luo Chuan Kui, along with his concerted action parties, Nenghui Holdings and Luoshan Tonghui, will collectively hold 69,092,700 shares, accounting for 40.98% of the company's total share capital; Zhaowen Fund will hold 8,429,400 shares, accounting for 5% of the company's total share capital, thereby becoming a shareholder with more than 5% ownership in the company. This share transfer through agreement will not result in any change to the company's controlling shareholder or actual controller.
